    Leesa Chesser: From Politics to the Boardroom

    If anything can prepare you for battle in the boardroom, it’s being a politician in the middle of a crisis. 

    Former-South Australian Mental Health Minister and Women on Boards member, Leesa Chesser (nee Leesa Vlahos) was thrust into the spotlight when allegations of elder abuse of dementia patients at the state-run Oakden nursing home were exposed leading, in part, to the aged care royal commission.

    In this podcast Leesa opens up to Claire about what it was like being at the centre of a political scandal, and how vital lessons learned from the experience have helped in her boardroom journey.

    “That time taught me a huge amount,” Leesa tells Claire. “There will always be failures, but how we respond to them in an appropriate way for an organization or institution or corporate entity is hugely important.”

    Now after calling time on 25 years in politics, Leesa is drawing on her experience in politics and the health information management and human services sector, plus her lived experience caring helping her mother through mental health issues, to work on her board portfolio.

    She says having had to understand and talk through complex pieces of legislation in Parliament has provided her with great skills to take to the boardroom table. 

    And while she admits having a seat in a parliament is more “adversarial and shouty at times” than sitting in the boardroom, she says the same rules apply when it comes to negotiation, mediation and getting a consensus.

    “What I've discovered in the journey walking away from politics after 25 years, is that the most surprising and rewarding Boards I’ve been on are not the ones that I would have predicted four years ago.”

    She is now a NED and Chair of Governance, Remuneration and Nominations Committee at Community Options Australia, an advisory board member with virtual reality start-up Add Life Technologies which specialises in neurological rehabilitation technology and mentor and Advisory Board member for HCI Insights which is developing a learning application called Frank which she describes as “like a Fitbit for mental health and wellbeing”.

    An avid shooter, sailor and CWA scone-maker, Leesa is also hoping to get her pilot’s license before retiring. As she tells Claire, “I’ve learned not to rule things in or rule things out.”

    Family Succession vs. Strategic Buyer - The Finer Points

    “If it’s going to be worth something to someone else, it has to create value for them” – Chris Yount, former CEO and 3rd generation business owner of Fortifiber.

    Hear Chris’s story as he shares how he rescued the family business from bankruptcy during the Great Financial Crisis, revamped the company’s strategic initiatives and led the company to its highest level of profitability in its 80 year history.  As Chris looked to the future, securing his family’s legacy and financial security was a top priority.  He chose to sell the company to Henry Co., a strategic buyer backed by a Private Equity firm.   

    In this episode, Chris discusses some of the finer points between a family succession plan and a transaction with an external party.  For example, with a family succession, Chris points out the importance of clearly defined leadership roles for the new management team so it’s clear to employees how they need to prioritize their work and responsibilities.  One potential solution Chris suggests is to consider moving the former CEO to a more remote office away from the main office. 

    One of the beauties to family successions, if over multiple generations, is the cumulative lessons learned along the way which can be retained and passed from one generation to the next.    

    When it comes to an institutional buyer, Chris says cultural differences will shine through.  For example, a Private Equity firm has a more formal structure and will look at the acquisition through the lens of risk management.  This will cause the due diligence process to be more onerous than with a private non institutional buyer, who is likely looking to be more opportunistic.  The process is much more formalized than with a family transfer.  

    Chris strongly encourages entrepreneurs to consider having a board of Strategic Advisors.  These are non-fiduciary members who can push the owner to think about the company in a different manner than they are accustomed to.  Additionally, these advisors can help professionalize the company which will enhance the enterprise value of the business and make it more attractive to a potential suitor.  

    Lastly, he shares his 2 action items for owners:

    1. Push to professionalize your business: Specifically, Chris encourages owners to ensure their financial record keeping is accurate and robust. Sloppy accounting and financial records will not stand up to the rigors of due diligence when dealing with a strategic institutional buyer or a Private Equity firm.
    2. Value Creation: Set the business up in a way that can create value for anyone not just you.

    Nell Merlino - A Living Legend for Women’s Rights
    Nell Merlino is an icon and a legend in her own right.  She has a list of firsts that will impact generations. She was at the forefront to change the outlook on Aids during the Aids epidemic by handing out condoms with the Gay Men’s Health Crisis as an Awareness campaign. She utilized that campaign opportunity to springboard starting the first girls’ initiative, Take Our Daughters to Work Day, while she worked with Ms. Magazine – yes, the Gloria Steinem magazine that changed women’s outlook.  After reading some research that said girls’ self-esteem dropped dramatically after reaching adolescence, she decided to change the way that girls see themselves by bringing them to a physical space where they could see themselves differently – the workplace!  That movement is still around today and has expanded into Take Your Daughters and Sons To Work Day.  Every year in April (this year, it’s April 22), children trek into the workplace with their parents to understand what they do and learn about different career options in preparation for real life. This year, quite a few of them will be leaving their at-home classrooms to invade the work-from-home environment created by their parents. For a few hours, they will listen in on negotiating, making tough decisions, and having fun doing at work. Her next adventure was Make Mine a Million $Business, where I met her.  She was on fire to help women grow their businesses to the million-dollar mark. Again, research showed her that only about 3% of women business owners ever passed the million-dollar revenue goal.  That program was sponsored by corporations like American Express and closed when sponsorship declined. Now, during COVID, Nell was moved to restart that venture to help small business owners take advantage of loan opportunities and discuss their issues during the pandemic; now in her next chapter with Count Me In Revival, she’s again following her calling. As I spoke with Nell, I couldn’t help wonder what it’s like to be her – from kicking down doors for women business owners to hosting Queen Raina of Jordan - all the time, fearless in forging new paths for women!  Listen in and see if you feel the same way.

    When you listen to Dr. Larry McCord tell his story, you swear you saw the movie! He is someone whose life is simply beyond belief! He has so many firsts that I couldn’t possibly list them all here.  In this podcast, we focused on some key turning points in his life. His athletic career made him the first in his family to win college scholarships, which enabled him to leave his hometown of Lutcher, LA.  Since then, he was the first in his family to graduate from college and has received several degrees ending in a Juris Doctorate and a Ph.D.  He was the first in his family to be President of a School Board and now teaches young people that they can get academic or athletic scholarships for college. His stint in the U.S. Army during the Vietnam War resulted in being the first in his family, and one of the very few men, to be listed in the Purple Heart Hall of Fame for earning four Purple Heart Medals and a Bronze Star – this meant Dr. McCord got shot four times. He utilizes his discipline and leadership skills to build today’s leaders through the New York school system or through his church, New Birth Christian Ministries in West Babylon, NY, where he is the first ordained minister and pastor in his family. As a leader, the Rev. Dr. Larry neatly ties together his athletics, military service, education background, and ministry to create tomorrow’s leaders.
