    The history of director independence and how we have dealt with conflicts in the past, can assist and guide us in the future. How do you determine director independence in your NFP, and should you? 

    There are unique considerations for NFPs, because they are set up by people who have a personal interest from the start, for example they been affected by an illness in some way or are heavily invested in a cause. So there is intrinsically, a conflict. Here I discuss what to look out for when considering director independence.

    As an NFP with a federated model structure, there are a couple of things to be aware of to ensure success and maintain a meaningful impact.  What are federated models and how are they efficient? 

    While federated models can be a joy for some and frustrating for others, it is important to effectively maintain structure to ensure success. If there is frustration or a lack of clarity, there needs to be a process to resolve it efficiently and effectively, so everyone is working together as a collective.

    We should take our time investigating structures such as federated models and seek a process to adapt and change, as necessary. With clarity federated models can be a joy to work with in the NFP space.

    Non Profit Governance - My Company Secretary Journey

    Are you an accountant or lawyer and want to give back but not sure where to start? Well, let me share a bit of my story in this video about how I became a company secretary for a non profit company in order to give back.

    Non profit governance is much like corporate governance (Australia) except that it doesn’t have all of the positions filled. For example, they often don’t have a CFO or an HR department and so the CEO themselves are carrying not only the responsibility of the organisation but also the weight - mostly alone.

    That’s where a company secretary executive can be of use, especially if you’re a lawyer or accountant. These are strong skill sets that nonprofits need in order to manage the organisation effectively and by you volunteering your time and experience you can give quite a lot of value while simultaneously sharing the load with the CEO.

    So, if you’re looking at how to give back with business skills, then this is a role you should consider! Your familiarity and corporate governance structure will make you an asset to any non profit.

    Before her current role, Loren was Company Secretary of HSBC Bank plc and Regional Company Secretary for Europe. She has previously been Head of Shareholder Services at HSBC and was formerly Group Secretary and Head of Governance at Standard Bank Group for 10 years. Loren moved to Australia in 2012, where she consulted on strategic governance and board practice to a range of both financial and not-for-profit entities in Australia, the US and across Africa, prior to her move to the UK.  This year, Loren was also voted one of the Hot 100 for innovation by the DMJ Recruitment Governance Hot 100 awards.  

    Loren draws upon her experience from her governance career across HSBC and Standard Bank Group to provide real, practical advice for how Company Secretaries can ensure a board is ‘future-fit'.     We explore the two routes to becoming a Chartered Secretary. There is the traditional ICSA modular route, and the alternative; graduating with a Masters in Corporate Governance with ICSA accreditation. The ICSA modular route comprises of exams, while the Masters combines exams, coursework and a dissertation. 

    Both courses give hiring managers the confidence that the individual is knowledgeable in the company secretarial role, but here we distinguish these differences from a hiring manager’s perspective.
